1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of ProjectHindsight (app.projecthindsight.uk) and ConditionIQ (getconditioniq.co.uk), together with our marketing website (hindsightintelligence.co.uk) (together, the "Services"), provided by Hindsight Intelligence Ltd, a company registered in England and Wales under Company No. 17077668 ("we", "us", "our").

By creating an account, starting a free trial, joining a pilot, or otherwise using the Services, you confirm on behalf of yourself and, where applicable, your organisation ("Customer", "you") that you accept these Terms. If you do not agree, you must not use the Services. Where a separate signed agreement (such as an Order Form, Master Services Agreement or pilot agreement) exists between you and us, that agreement takes precedence over these Terms to the extent of any conflict.

2. Definitions

TermMeaning
"Customer Data"Any data, documents, lessons, asset records, inspection evidence, photographs, or other content uploaded to or entered into the Services by you or your organisation.
"AI Output"Any lesson, condition grade, summary, risk flag, or other content generated or proposed by an AI model within the Services.
"Subscription"A paid plan giving access to the Services as described on our Pricing page or an Order Form.
"Pilot"A time-limited, complimentary or discounted evaluation arrangement for ConditionIQ, as described in section 5.

3. The Services

3.1 ProjectHindsight

ProjectHindsight is an AI-assisted project knowledge management platform that helps organisations capture, structure, search and reuse lessons learned from infrastructure projects.

3.2 ConditionIQ

ConditionIQ is an AI-assisted asset condition management platform aligned to ISO 55001:2024, covering Water & Wastewater, Energy Networks, Rail, Highways, NHS Estates and Aviation sectors.

3.3 Changes to the Services

We may add, modify, or discontinue features of the Services from time to time. We will give reasonable notice of any change that materially reduces core functionality you are paying for.

4. Eligibility and account registration

  • You must be at least 18 years old and have authority to bind your organisation to these Terms.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must provide accurate registration information and keep it up to date.
  • You must notify us promptly of any unauthorised use of your account.

5. Subscriptions, free trials, pilots and fees

5.1 Free trial (ProjectHindsight)

We offer a 30-day free trial of ProjectHindsight at the Premium tier, with no payment card required. At the end of the trial, your account will move to the Free tier (or be paused, as described at sign-up) unless you choose to subscribe to a paid plan.

5.2 Pilot programme (ConditionIQ)

We may offer complimentary or discounted Pilot access to ConditionIQ to qualifying infrastructure operators, at our discretion, for an agreed evaluation period. Pilot access may be subject to additional terms agreed separately, including any limits on users, assets, or features. We may end a Pilot, or invite you to convert to a paid Subscription, on reasonable notice.

5.3 Fees and payment

Subscription fees are as set out on our Pricing page or in your Order Form, and are exclusive of VAT unless stated otherwise. Fees are billed in advance on a monthly or annual basis as agreed. Where Stripe is used for billing, payment terms and refund handling are subject to Stripe's standard processing terms in addition to this section.

5.4 Cancellation

You may cancel a monthly Subscription at any time, effective at the end of the current billing period, with no exit fees. Annual Subscriptions may be subject to different cancellation terms as set out in your Order Form.

6. Customer Data — ownership and licence

  • You and your organisation retain all ownership rights in Customer Data.
  • You grant us a worldwide, non-exclusive licence to host, store, process, transmit, and display Customer Data solely as necessary to provide the Services to you, including processing by AI sub-processors as described in our Privacy Notice and Data Processing Agreement.
  • We will not use Customer Data to train general-purpose AI models, and will not share Customer Data with other Customers except where you have opted into Knowledge Commons sharing as described in our Privacy Notice.
  • On termination of your Subscription, we will make Customer Data available for export for 30 days, after which it will be deleted or anonymised in accordance with our DPA, unless a longer retention period is required by law.

7. AI-Assisted Features

The Services include features where an AI model proposes content — for example, extracting a lesson from a document, or proposing a condition grade from an inspection report. You acknowledge and agree that:

  • AI Output is a proposal only and does not become part of your organisation's record of lessons, condition grades, or risk assessments until reviewed and approved by a named individual within your organisation.
  • You are responsible for reviewing AI Output for accuracy before relying on it, particularly for regulatory submissions, safety-critical decisions, or capital investment decisions.
  • We disclose AI involvement in generated reports in accordance with Article 50 of the EU AI Act, but this disclosure does not transfer responsibility for the underlying decision away from your organisation.
  • We do not warrant that AI Output will be accurate, complete, or fit for any particular regulatory purpose.

8. Acceptable use

You agree not to, and not to permit any user of your account to:

  • Use the Services for any unlawful purpose, or in a way that infringes the rights of any third party;
  • Upload content that is defamatory, obscene, or that you do not have the right to upload;
  • Attempt to gain unauthorised access to the Services, other accounts, or our systems, including by circumventing authentication or security measures;
  • Probe, scan, or test the vulnerability of the Services, or attempt to interfere with their normal operation, except as agreed in writing under a responsible disclosure arrangement;
  • Use automated means to scrape, extract or replicate substantial parts of the Services without our written consent;
  • Use AI features to generate content intended to mislead a regulator, auditor, or third party as to the involvement or non-involvement of AI in its preparation;
  • Resell, sublicense, or provide access to the Services to any third party not authorised under your Subscription, except where a multi-organisation or consultancy arrangement has been agreed with us in writing;
  • Reverse engineer, decompile, or attempt to extract the source code of the Services, except to the extent permitted by law.

We may suspend or terminate access for breach of this section, particularly where the breach poses a security risk to the Services or other Customers. Where reasonably possible, we will give notice and an opportunity to remedy the breach before suspension.

9. Intellectual property

Excluding Customer Data, all rights, title and interest in and to the Services — including the software, platform design, documentation, trademarks "Hindsight Intelligence", "ProjectHindsight" and "ConditionIQ", and any improvements or derivative works — are and remain the property of Hindsight Intelligence Ltd or our licensors. Nothing in these Terms transfers any such rights to you, except the limited right to access and use the Services in accordance with your Subscription.

10. Third-party services

The Services rely on third-party infrastructure and AI providers, including those listed in our Privacy Notice. We are not responsible for the availability, performance, or acts or omissions of these third-party providers, except to the extent caused by our failure to select and manage them with reasonable care.

11. Availability, support and maintenance

We aim to provide the Services on a continuous basis but do not guarantee uninterrupted availability. We may carry out planned maintenance, and will use reasonable efforts to schedule this outside core business hours and to give advance notice where practicable. Support is provided as described for your plan on our Pricing page.

12. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services, and to use it only for the purposes of the Services, except where disclosure is required by law or to professional advisers under a duty of confidentiality.

13. Data protection

The parties' respective data protection obligations are set out in our Privacy Notice and Data Processing Agreement, which are incorporated into these Terms by reference.

14. Warranties and disclaimers

We warrant that we will provide the Services with reasonable skill and care. Except as expressly stated in these Terms, the Services are provided "as is" and we disclaim all other warranties, whether express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law. Nothing in this section excludes or limits liability for fraud, or for any matter for which liability cannot lawfully be excluded.

15. Limitation of liability

Liability cap. Subject to the carve-outs below, our total aggregate liability to you arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

Neither party excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability which cannot be excluded or limited by applicable law.

Subject to the above, neither party shall be liable to the other for any indirect, special, or consequential loss, or for loss of profits, revenue, goodwill, or anticipated savings, even if advised of the possibility of such loss.

16. Indemnity

You agree to indemnify and hold us harmless against any claims, losses, or expenses arising from: (a) Customer Data that infringes the rights of a third party or breaches applicable law; or (b) your breach of section 8 (Acceptable Use).

17. Term and termination

  • These Terms apply for as long as you have an active account or Subscription.
  • Either party may terminate for the other's material breach if the breach is not remedied within 30 days of written notice.
  • We may suspend or terminate immediately for non-payment, breach of section 8, or where required by law.
  • On termination, sections 6 (Customer Data), 9 (IP), 12 (Confidentiality), 15 (Limitation of Liability), and 16 (Indemnity) survive.

18. Knowledge Commons participation

If your organisation opts into the ProjectHindsight Knowledge Commons feature, additional terms governing that participation — including how lessons are anonymised, shared, and attributed — apply and are made available within the platform at the point of opting in.

19. General

  • Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions continue in full force.
  • Entire agreement. These Terms, together with the Privacy Notice, DPA, and any Order Form, constitute the entire agreement between the parties regarding the Services.
  • Notices. Notices to us should be sent to support@hindsightintelligence.co.uk. We may send notices to the email address associated with your account.
  • Governing law. These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, subject to any mandatory consumer protection laws that may apply.

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify active Customers via email or an in-platform notice at least 30 days before the changes take effect. Continued use of the Services after that date constitutes acceptance of the updated Terms.
